These Terms & Conditions ("Terms") govern access to and use of the ColdKey website and acquisitions platform (collectively, the "Services"), operated by ColdKey LLC ("ColdKey," "we," "us," or "our"). By accessing our website, requesting access, or engaging our Services, you agree to be bound by these Terms.

1. Description of Services

ColdKey provides an end-to-end acquisitions platform for real estate investors, wholesalers, and acquisition teams. Our Services may include lead sourcing, outbound calling, seller qualification, AI-driven lead nurture and negotiation, reporting, and related acquisitions infrastructure, as agreed between ColdKey and the client in a separate service agreement.

2. Eligibility & Access

ColdKey does not onboard clients at scale. Access to our Services is granted at our discretion following an evaluation process. Submitting a request for access does not guarantee acceptance. We reserve the right to accept, decline, or discontinue service to any party for any lawful reason.

3. Client Responsibilities

Clients engaging ColdKey's Services are responsible for:

  • Providing accurate information regarding target markets, acquisition criteria, and desired outcomes
  • Ensuring that any data, lists, or materials provided to ColdKey are lawfully obtained and may be lawfully used for outbound contact
  • Complying with all applicable laws related to real estate acquisition, contracting, and licensing in their operating jurisdictions
  • Timely review and action on qualified opportunities delivered by ColdKey

4. AI Acquisition Assistant

ColdKey's proprietary AI acquisition assistant is used to nurture, follow up with, and negotiate with qualified leads. While designed to operate professionally and within compliance standards, the AI acquisition assistant's outputs are generated using automated systems and should be reviewed by the client as part of any final contract or negotiated terms. ColdKey does not guarantee any specific outcome, deal terms, or closing result from AI-assisted or human-assisted interactions.

5. Fees & Payment

Pricing, billing terms, and payment schedules are disclosed to qualified clients during the access evaluation process and formalized in a separate service agreement. Unless otherwise stated in that agreement, fees are non-refundable once services have commenced.

6. No Guarantee of Results

ColdKey provides acquisitions infrastructure, outreach, and lead nurturing services. We do not guarantee any specific number of qualified leads, appointments, signed contracts, or closed transactions. Real estate market conditions, seller behavior, and client execution are outside our control and affect outcomes.

7. Compliance

ColdKey conducts outbound communications in accordance with applicable telemarketing and consumer protection laws, including the Telephone Consumer Protection Act (TCPA) and relevant Do Not Call regulations. Clients agree not to direct ColdKey to contact individuals or lists in a manner that would violate applicable law.

8. SMS Messaging Terms

By submitting your phone number and checking the SMS consent box on our website access request form, you opt in to receive text messages and phone calls from ColdKey LLC regarding your access request, account updates, and related communications. Consent is not required as a condition of any purchase.

Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out at any time; reply HELP for assistance. No mobile opt-in information is shared with third parties or affiliates for marketing or promotional purposes. Standard carrier terms apply, and carriers are not liable for delayed or undelivered messages.

9. Confidentiality

Each party agrees to keep confidential any proprietary business information, pipeline data, scripts, technology, or systems shared during the course of the engagement, and to use such information solely for the purposes of the relationship between the parties.

10. Intellectual Property

All systems, scripts, technology, software, and proprietary processes used to deliver the Services—including the AI acquisition assistant—remain the exclusive property of ColdKey. Nothing in these Terms transfers ownership of ColdKey's intellectual property to any client.

11. Limitation of Liability

To the fullest extent permitted by law, ColdKey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business opportunities, arising out of or related to the use of our Services.

12. Termination

Either party may terminate the engagement in accordance with the terms set out in the applicable service agreement. ColdKey reserves the right to suspend or terminate access to the Services at its discretion in cases of misuse, non-payment, or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.

14. Changes to These Terms

We may revise these Terms from time to time. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
